Terms and Conditions for Jason Masters Studios LLC

Jason Masters Studios LLC ("we," "us," "our," or "Jason Masters Studios") provides professional photography, videography, video production and editing, event coverage, corporate imaging, and visual branding services (collectively, the "Services"). These Terms and Conditions ("Terms") govern your access to and use of our website www.jasonmastersstudios.com (the "Site") and any Services we provide. By using the Site, contacting us, or engaging our Services, you agree to these Terms.
If you do not agree, do not use the Site or engage our Services.

1. Services and Scope of Work
We provide Services as described on the Site or in project-specific proposals, estimates, quotes, or agreements ("Project Agreement").
Each engagement is governed by a separate Project Agreement (e.g., quote, invoice, or signed contract) that specifies scope, deliverables (photos, videos, edits), timelines, locations, fees, and any special terms. These Terms apply to all Project Agreements unless expressly modified in writing.
Services are performed on a best-effort basis. We reserve the right to refuse or cancel any project for any reason.

2. Booking, Deposits, and Payments
A deposit (typically 30-50% of total fee, as specified) is required to reserve dates and secure our Services.
Final payment is due upon completion/delivery or per the schedule in the Project Agreement.
Payments are non-refundable except as provided in Section 5 (Cancellations).
Late payments may incur fees (e.g., 1.5% monthly interest) and may result in suspension of work or delivery.
All fees are in USD and exclude taxes, travel expenses, permits, or third-party costs unless stated.
We may subcontract services (e.g., assistants, editors) as needed.

3. Intellectual Property and Usage Rights
We retain full copyright and ownership of all original images, videos, raw files, edits, and materials created ("Work Product").
Upon full payment, we grant you a non-exclusive, non-transferable license to use the final delivered Work Product for the purposes specified in the Project Agreement (e.g., commercial use, social media, website).
Unless otherwise agreed in writing, you may not:
Sell, sublicense, or transfer the Work Product.
Use it for purposes beyond the agreed scope.
Alter it substantially without permission.
We reserve the right to use the Work Product (or selections) in our portfolio, website, social media, marketing, promotions, exhibitions, or for professional purposes, unless you opt out in writing at booking.
Raw/unedited files are not provided unless explicitly agreed and paid for.

4. Client Responsibilities
Provide accurate information, timely access to locations/venues, necessary permits/licenses, and cooperation (e.g., scheduling, approvals).
Ensure safety and appropriate conditions at shoots.
Notify us promptly of any issues.
You represent that you have rights to any materials you provide us (e.g., logos, music, locations).

5. Cancellations and Rescheduling
Cancellations by Client:
More than [X] days before shoot date: Deposit may be partially refundable (e.g., less expenses incurred).
[X] days or fewer: Full forfeiture of deposit + possible additional fees.
On/after shoot date: Full fee due.
Cancellations by us (rare, e.g., illness, force majeure): Reasonable efforts to reschedule; refund of deposits if unable.
Specific terms in Project Agreement override these.

6. Delivery and Revisions
Final deliverables provided digitally (e.g., via gallery link, drive) within agreed timeframe.
Limited revisions (e.g., 1-2 rounds) included unless specified.
Additional revisions or rush delivery may incur fees.
No guarantee of specific aesthetic outcomes beyond professional standards.

7. Limitation of Liability
We are not liable for indirect, consequential, incidental, or punitive damages.
Our total liability shall not exceed the fees paid for the specific project.
We are not responsible for lost/damaged equipment, third-party issues, weather, venue problems, or events beyond our control (force majeure).
You indemnify us against claims arising from your misuse of Work Product or breach of these Terms.

8. Indemnification
You agree to indemnify, defend, and hold us harmless from claims, losses, or damages arising from your breach, misuse of Services/Work Product, or violation of third-party rights.

9. Termination
We may terminate for non-payment, breach, or safety concerns. You remain liable for fees/expenses incurred.

10. Governing Law and Dispute Resolution
These Terms are governed by California law. Disputes shall be resolved in Los Angeles County courts. You waive jury trial if applicable.

11. Force Majeure
Neither party liable for delays/failures due to events beyond control (e.g., natural disasters, illness, pandemics, strikes).

12. Changes to Terms
We may update these Terms. Changes posted on Site; continued use constitutes acceptance.

13. Entire Agreement
These Terms (plus Project Agreement) constitute the full agreement. No oral modifications.
